controlling access to your account;
ensuring authorised users comply with these Terms; and
activity undertaken through your account.
You must notify us promptly if you become aware of unauthorised access to your account.
You must not deliberately share or use accounts in a way that circumvents applicable account, workspace, subscription or user limits.

If you:
add a client to Onranq;
connect a client's account;

you represent that you have the necessary authority and permissions to do so.
You must not access, connect, modify, analyse or submit information relating to any website, property, account, business or person that you are not authorised to manage.
5. Acceptable Use
You may use Onranq only for lawful purposes and in accordance with these Terms.
You must not:
violate any applicable law or regulation;
access accounts, websites, systems or data without appropriate authorisation;
interfere with or attempt to compromise Onranq's security or operation;
introduce malware, malicious code or harmful material;
attempt to gain unauthorised access to Onranq or its infrastructure;
reverse engineer, decompile or attempt to derive Onranq's source code except where permitted by law;
infringe another person's intellectual property, privacy or legal rights;
submit information that you do not have the right to use;
use Onranq for fraudulent, deceptive, abusive or unlawful activities;

We may restrict or suspend access where reasonably necessary to protect Onranq, our users, third parties or the security and integrity of the platform.
6. Third-Party Services and Integrations
Onranq may connect to or use third-party platforms, APIs, services and data providers.
These may include:
search engines;
analytics platforms;
Google services;
business listing platforms;
review platforms;
social media platforms;
publishing platforms;
AI services;
marketing tools;
data providers; and
other online services.
When you choose to connect a third-party account or service, you authorise Onranq to access and process information made available through that connection to provide the functionality you request.
Your use of third-party services remains subject to their respective terms, privacy policies and platform requirements.
Third-party services operate independently from Onranq.
We do not control and cannot guarantee their:
availability;
functionality;
accuracy;
data quality;
response times;
APIs;
pricing;
policies; or
continued compatibility with Onranq.
An integration may change, become unavailable or stop functioning because of actions or changes made by the relevant third-party provider.
7. Google Services and Google User Data
Onranq may allow you to connect supported Google services, including Google Search Console and other Google services where made available.
When you connect a Google service, Onranq may request permissions required to provide the relevant functionality.
Google user data obtained through Google APIs will be accessed, used, stored, processed and shared only in accordance with:
the functionality provided to you;
your permissions and instructions;
our Privacy Policy; and
applicable Google API policies and requirements.
We do not sell Google user data.
We do not use Google user data for unrelated advertising or advertising profiling.
Where Google policies impose additional restrictions on the use, transfer or human access of Google user data, those restrictions will apply.
You may revoke Onranq's access through your Google Account permissions. Where supported, you may also disconnect the relevant integration within Onranq.
More information about how connected Google data is handled, including storage, sharing, retention and deletion, is provided in our Privacy Policy.
8. User Content and Business Data
You retain ownership of information, documents, text, images and other materials that you directly upload, submit or provide through Onranq ("User Content").
You grant Vilu Pty Ltd a limited, non-exclusive licence to host, copy, process and use User Content only to the extent reasonably necessary to:
provide the Onranq services you request;
perform analyses and calculations;
generate reports and recommendations;
process connected data;
maintain and secure Onranq;
troubleshoot technical issues; and
perform our obligations under these Terms.
You represent that you have the necessary rights and permissions to provide any User Content submitted to Onranq.
Nothing in this section expands our permitted use of Google user data beyond uses permitted by applicable Google policies.
9. Generated Reports, Content and Outputs
Onranq may generate reports, audits, recommendations, analyses, content briefs, written content, summaries, scores, classifications, suggested actions, research and other outputs ("Outputs").
Subject to our ownership of Onranq, its software, systems, methodologies, templates and other pre-existing intellectual property, you may use Outputs generated specifically for your account for legitimate business purposes.
You may provide relevant Outputs to clients or other organisations that you are authorised to represent.
Where third-party content, data or intellectual property is incorporated into an Output, that material may remain subject to third-party rights or restrictions.
You are responsible for reviewing Outputs before publishing, distributing, implementing or relying upon them.
10. Artificial Intelligence and Automated Features
Onranq may use artificial intelligence, machine learning, algorithms and third-party AI services to assist with functions including:
research;
analysis;
classification;
summaries;
recommendations;
content creation;
content optimisation;
reporting; and
workflow assistance.
AI and automated systems can produce inaccurate, incomplete, outdated or inappropriate results.
AI-generated and automated Outputs are intended to assist human decision-making and should not automatically be treated as verified facts or professional advice.
You are responsible for reviewing Outputs before relying on, publishing, implementing or distributing them.
We do not guarantee that AI-generated content will be unique or that similar outputs will not be generated for other users.
11. Search, AI Visibility and Marketing Results
Search engines, AI platforms, recommendation systems, social platforms and other third-party systems use algorithms, policies and processes that Onranq does not control.
We therefore do not guarantee:
search engine rankings;
local search rankings;
Google Business Profile rankings;
website indexing or crawling;
website traffic;
search features or rich results;
AI citations;
AI mentions;
AI recommendations;
inclusion in AI-generated answers;
social media reach;
leads;
enquiries;
bookings;
sales;
revenue; or
any particular marketing or commercial outcome.
Metrics, forecasts, scores, recommendations and visibility measurements provided through Onranq are analytical tools and should not be interpreted as guarantees of future performance.
12. Third-Party Data and Metrics
Onranq may display, process or analyse information obtained from third-party APIs, data providers, connected platforms and publicly available sources.
Third-party information may include estimates, samples, delayed information, incomplete datasets or inaccuracies.
While we aim to use useful and reliable sources, we cannot independently guarantee the accuracy, completeness, currency or continued availability of third-party information.
Different platforms and providers may calculate similar metrics differently.
13. Confidential Information
Each party may receive non-public business, technical, commercial or operational information from the other party.
Each party agrees to take reasonable steps to protect confidential information and not disclose it except:
where reasonably necessary to provide or receive the services;
to employees, contractors or service providers who reasonably require access and are subject to appropriate obligations;
with the other party's permission; or
where disclosure is required by law.
This section does not apply to information that:
becomes publicly available through no breach of these Terms;
was already lawfully known;
is independently developed without reference to the confidential information; or
is lawfully obtained from another source without an obligation of confidentiality.
Personal information and connected-service data remain subject to our Privacy Policy and applicable platform requirements.
14. Subscriptions and Billing
Some Onranq features may require payment or a subscription.
Before purchasing a paid subscription, we will provide or otherwise make available information about the applicable:
price;
billing frequency;
included features;
usage allowances; and
material subscription conditions.
By purchasing a recurring subscription, you authorise us or our payment provider to charge the applicable payment method at the agreed billing frequency until the subscription is cancelled.
Unless otherwise stated, prices are expressed in Australian dollars.
You are responsible for keeping your billing and payment information current.
15. Subscription Changes
We may introduce new subscription plans, change pricing or modify features included within existing plans.
Where a change materially affects an existing paid subscription, we will provide reasonable notice before the change applies where reasonably practicable.
If you do not agree to a material change, you may cancel the affected subscription before the new pricing or conditions take effect.
Nothing in this section limits rights available to you under applicable law.
16. Cancellation and Refunds
You may cancel a recurring subscription using any cancellation method made available to you or by contacting us where no self-service method is available.
Unless otherwise stated at the time of purchase, cancellation will normally take effect at the end of the current paid billing period.
You may continue to use the applicable paid features until that period ends, subject to these Terms.
Payments already made are generally non-refundable for change of mind, except where required by law or expressly agreed otherwise.
Nothing in these Terms excludes, restricts or modifies any consumer guarantee, right or remedy that cannot lawfully be excluded under the Competition and Consumer Act 2010 (Cth), including the Australian Consumer Law, or other applicable legislation.
17. Intellectual Property
Onranq and its underlying software, source code, databases, interfaces, systems, workflows, designs, branding, documentation, proprietary methodologies, templates and original platform content are owned by or licensed to Vilu Pty Ltd and are protected by applicable intellectual property laws.
Except as expressly permitted by these Terms, you may not reproduce, distribute, modify, sublicense, sell or commercially exploit Onranq's proprietary intellectual property without our written permission.
These Terms do not transfer ownership of your User Content to Vilu Pty Ltd.
18. Feedback
If you voluntarily provide suggestions, ideas, comments or other feedback relating to Onranq, you permit us to use that feedback to develop and improve Onranq without compensation to you.
We will not publicly identify you as the source of feedback without your permission.
19. Privacy
Your use of Onranq is also subject to our Privacy Policy, which explains how we collect, use, store and disclose information.
The Privacy Policy includes information relating to areas such as:
personal information;
account information;
connected accounts;
Google user data;
third-party service providers;
data storage and security;
retention and deletion;
cookies and analytics; and
privacy enquiries.
20. Data Retention and Account Closure
Information associated with your account may be retained or deleted following cancellation or termination in accordance with:
our Privacy Policy;
applicable legal obligations;
security requirements;
third-party platform requirements; and
reasonable operational retention practices.
Where export functionality is available, you are responsible for exporting information you wish to retain before your account is closed.
You should maintain your own copies of information that is important to your business and should not rely on Onranq as your sole storage or backup service.
21. Security
We take reasonable technical and organisational measures designed to protect Onranq and information processed through the platform.
However, no online system, network, transmission or storage method can be guaranteed to be completely secure.
You are responsible for maintaining reasonable security over your own:
devices;
systems;
email accounts;
connected services;
login credentials; and
authorised users.
If you become aware of a suspected security incident relating to your Onranq account, please contact us promptly.
22. Service Availability
We aim to provide a reliable service but do not guarantee that Onranq will always be uninterrupted, available or error-free.
Onranq may occasionally be unavailable because of:
maintenance;
upgrades;
technical issues;
security incidents;
internet or infrastructure failures;
third-party service outages;
API interruptions; or
events outside our reasonable control.
Where reasonably practicable, we will aim to minimise disruption.
23. Changes to Onranq
We may modify Onranq over time, including by introducing, modifying or discontinuing features, integrations, workflows and functionality.
Where a change materially reduces the core functionality of an existing paid subscription, we will take reasonable steps to provide notice where practicable.
If we permanently discontinue a material prepaid service before the end of the applicable subscription period, we will provide any remedy required by applicable law and may, where appropriate, provide a proportionate refund or credit for the unused period.
24. Beta and Experimental Features
Some Onranq features may be identified as beta, preview, experimental, early access or otherwise under development.
These features may:
be incomplete;
contain errors;
change without notice;
produce unexpected results; or
be discontinued.
Beta and experimental features should not be relied upon for critical business decisions without appropriate independent review.
25. Suspension and Termination
You may stop using Onranq at any time.
We may suspend, restrict or terminate access where reasonably necessary because:
you materially breach these Terms;
payment remains overdue;
we reasonably suspect fraudulent, abusive or unlawful activity;
continued access creates a security risk;
continued access may harm another user or third party;
you use Onranq without appropriate authority; or
suspension is reasonably required to comply with law or third-party platform requirements.
Where reasonably practicable and appropriate, we will provide notice and an opportunity to remedy a breach before permanently terminating a paid account.
Immediate suspension may be necessary where there is a serious security, legal, fraud or abuse risk.
Termination does not affect rights or obligations that accrued before termination.
26. Disclaimers
To the maximum extent permitted by law, Onranq is provided on an "as available" basis.
We do not guarantee that:
all information will be accurate, complete or current;
every issue affecting a website or business will be detected;
every recommendation will be suitable for every business;
implementing a recommendation will produce a particular result;
third-party integrations will remain available;
search engines or AI platforms will respond to changes in a particular way; or
Onranq will operate without interruption or error.
Onranq provides software, analysis and decision-support tools.
Unless expressly stated otherwise, Outputs provided through Onranq do not constitute legal, financial, accounting or other regulated professional advice.
Nothing in these Terms excludes guarantees or rights that cannot legally be excluded.
27. Limitation of Liability
To the maximum extent permitted by law, Vilu Pty Ltd will not be liable for indirect, incidental, special or consequential loss arising from your use of or inability to use Onranq.
This may include loss of profits, revenue, business opportunity, anticipated savings, goodwill or data, to the extent that such liability can lawfully be excluded.
We are not responsible for losses resulting solely from:
changes made by search engines, AI platforms or other third-party services;
third-party service outages;
API changes;
third-party data inaccuracies;
actions taken based on unreviewed AI-generated Outputs; or
unauthorised use of your account caused by your failure to reasonably protect your credentials,
except to the extent that the relevant loss was caused by our own breach, negligence or unlawful conduct.
Nothing in these Terms excludes, restricts or modifies rights or remedies available under the Australian Consumer Law where doing so would be unlawful.
28. Indemnity
To the extent permitted by law, you agree to indemnify Vilu Pty Ltd against reasonable losses, liabilities, claims and costs arising directly from:
your unlawful use of Onranq;
your material breach of these Terms;
User Content submitted without the necessary rights or permissions;
your unauthorised access to another person's website, data, property or account;
your infringement of another person's intellectual property, privacy or legal rights; or
your material misrepresentation of your authority to act for another person or organisation.
This indemnity does not apply to the extent that the relevant loss was caused by the negligence, unlawful conduct or material breach of these Terms by Vilu Pty Ltd.
29. Third-Party Websites
Onranq may contain links to third-party websites and services.
These links are provided for convenience and do not necessarily imply endorsement.
We are not responsible for the content, availability, security, privacy practices or operation of third-party websites and services.
30. Force Majeure
Neither party will be responsible for a failure or delay in performing an obligation, other than a payment obligation, where the failure results from circumstances outside that party's reasonable control.
This may include natural disasters, widespread internet or infrastructure outages, government action, industrial disputes, cyber incidents or failure of critical third-party infrastructure.
31. Changes to These Terms
We may update these Terms from time to time to reflect changes to Onranq, our business practices, third-party platform requirements or applicable laws.
Updated Terms will be published with a revised "Last updated" date.
Where changes materially affect your rights or an existing paid service, we will take reasonable steps to provide additional notice where appropriate.
Changes will not retrospectively remove rights that have already accrued.
Your continued use of Onranq after updated Terms take effect constitutes acceptance of the updated Terms.
32. Dispute Resolution
If a dispute arises relating to Onranq or these Terms, we encourage you to contact us first so that we can attempt to resolve the issue directly.
Both parties should make reasonable efforts to resolve disputes in good faith before commencing formal proceedings where appropriate.
Nothing in this section prevents either party from exercising rights available under applicable law, making a complaint to an appropriate regulator or seeking urgent legal relief where necessary.
33. Governing Law
These Terms are governed by the laws of Victoria, Australia and applicable Commonwealth laws.
Subject to rights available under applicable consumer protection laws, the parties submit to the jurisdiction of the courts of Victoria and the Commonwealth of Australia.
34. Assignment
You may not transfer your rights or obligations under these Terms to another party without our consent, which will not be unreasonably withheld where appropriate.
We may transfer our rights and obligations as part of a genuine corporate restructure, merger, acquisition or sale of the relevant business or assets, subject to applicable privacy, consumer and data-protection obligations.
35. Severability
If any provision of these Terms is determined to be invalid or unenforceable, that provision will be interpreted or limited to the minimum extent necessary where legally permitted.
The remaining provisions will continue to apply.
36. Waiver
A failure or delay by either party to exercise a right under these Terms does not constitute a waiver of that right.
37. Entire Agreement
These Terms, together with our Privacy Policy and any additional written terms expressly agreed for a particular service or subscription, form the agreement between you and Vilu Pty Ltd regarding your use of Onranq.
